CODE OF ETHICS AND
PROFESSIONAL CONDUCT

1.
Purpose
The purpose of this Code is to identify those professional obligations
which serve to protect the public in general and quantumiii clients in
particular. The Code is also designed to identify the expectations of
associates with respect to other associates and with respect to the
management consulting and competitive intelligence profession.
2. Definitions
"Associate" is any individual formally recognised by and in good standing
with the Pretoria, South Africa based management and competitive
intelligence firm quantumiii Consultants also trading as Qiii
hereafter referred to as quantumiii - and actively involved in a
current quantumiii project
"Profession" is the work and activities engaged in by natural persons when
advising and assisting clients with aspects pertaining to the management
and competitive intelligence needs and requirements of the client
business.
3. Responsibilities To The Public
Legal:
An associate shall act in accordance with all applicable legislation
and laws.
Representation:
An associate shall make representations on behalf
quantumiii, or other quantumiii
associates only when duly authorised.
Public Protection:
An associate shall be liable for suspension or exclusion from
quantumiii-associateship
where that associate has behaved in a manner unbecoming to the
profession, as judged by the Executive of quantumiii.
4.
Responsibilities To The Profession
Knowledge:
An associate shall keep
informed of the applicable Code of Professional Conduct and the
profession's common body of knowledge.
An associate shall
strive to keep abreast of developments in any area of the profession
where specific expertise is claimed.
Self
Discipline:
An associate shall recognise that
the self disciplinary nature of the profession is a privilege and that
the associate has a responsibility to merit retention of this privilege.
Therefore, a associate shall report to the quantumiii Executive unbecoming
professional conduct by another associate.
Responsibilities For Others:
An associate shall ensure that
other consultants carrying out work on the associate's behalf are
conversant with, and abide by, the applicable Code of Ethics and
Professional Conduct.

While involved with a current
quantumiii
project:
· An associate shall behave in a
manner which maintains the good reputation of the profession and its
ability to serve the public interest.
· An associate shall behave in a
manner which maintains the good reputation of quantumiii and its ability to
serve clients.
· An associate shall avoid
activities which adversely affect the quality of that associate's
professional advice.
· An associate may not carry on
business which clearly detracts from the associate's professional
status.
5.
Responsibilities To Other Associates
Review Of A
Associate's Work:
A associate who has been requested
to review critically the work of another associate shall inform that
associate before undertaking the work.
6.
Responsibilities To The Client
Due Care:
An associate shall act in the best
interest of the client, providing professional services with integrity,
objectivity, and independence.
An associate shall not encourage
unrealistic client expectations.
Business
Development:
An associate shall not adopt any
method of obtaining business which detracts from the professional image
of quantumiii or its associates.
Competence:
An associate shall accept only
those assignments which the associate has the knowledge and skills to
perform.
Informed
Client:
An associate shall, in accepting
an assignment , reach a mutual understanding with quantumiii and the client as
to the assignment objectives, scope and work plan.
Fee
Arrangements:
An associate shall establish fee
arrangements with quantumiii in advance of any substantive work and shall
inform all relevant parties when such arrangements may impair or may be
seen to impair the objectivity or independence of the associate.
An associate shall not enter into
fee arrangements which have the potential to compromise the associate's
integrity or the quality of services rendered.
Conflict:
An associate shall avoid acting
simultaneously for two or more clients in potentially conflicting
situations without informing all parties in advance and securing their
agreement to the arrangement.
An associate shall inform quantumiii of any interest which may impair or may
be seen to impair professional judgment.
An associate shall not take advantage of a client relationship by
encouraging, unless by way of an advertisement, an employee of that
client to consider alternate employment without prior discussion with
the client.
Confidentiality:
An associate shall treat all
quantumiii
and client information as confidential.
Objectivity:
An associate shall refrain from
serving a client under terms or conditions which impair independence and
an associate shall reserve the right to withdraw from the assignment if
such becomes the case.
